These Terms & Conditions govern your use of the AIRE platform and related services. Please read them carefully.

1. Introduction & Agreement to Terms

Purpose of the Agreement

These terms and conditions ("Terms") constitute a legally binding agreement between you and AIRE LLC (referred to as "AIRE," "we," or "us") governing your access to and use of the AIRE website, applications, dashboards, AI tools, and all related products, features, and services (collectively, the "Platform" or "Services"). By setting out the respective rights and obligations of you and AIRE, these Terms are intended to provide clarity about how the Platform may be used and under what conditions.

Acceptance of Terms

By accessing, browsing, registering for an account on, or otherwise using the Platform in any manner—including creating or managing listings, viewing properties, submitting offers, completing applications, or using any AI-powered tools—you acknowledge that you have read, understand, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Platform.

Updates to Terms

AIRE may update or modify these Terms from time to time, for example to reflect changes to the Platform, applicable laws, or business practices. When material changes are made, AIRE will provide notice to active users by reasonable means, which may include email, in-app or dashboard notifications, or by posting an updated version of these Terms with a new "effective date" on the Platform. Unless otherwise stated, updated Terms will become effective when posted, and your continued use of the Platform after the updated Terms take effect will constitute your acceptance of those changes.

2. Definitions

For purposes of these Terms, the following capitalized terms have the meanings set forth below. Other terms may be defined contextually within these Terms.

"AIRE," "we," "us"
means AIRE LLC, the entity that owns, operates, and provides the Platform and Services.
"Platform" or "Services"
means the AIRE website, applications, dashboards, AI tools, and any other products, features, content, or services that AIRE makes available to you, whether now existing or developed in the future.
"User," "you"
means any individual or entity that accesses, browses, registers for, or uses the Platform in any manner, including Sellers and Buyers.
"Seller"
means a User who uses the Platform to create, submit, manage, or otherwise participate in property listings or related sale transactions.
"Buyer"
means a User who uses the Platform to search for properties, submit or manage offers, or otherwise participate in purchase or lease transactions.
"Listing"
means any property listing or related information (including photos, descriptions, pricing, and status) that is created, submitted, or managed through the Platform.
"Property"
means a real estate asset (such as a home, condominium, multi‑unit building, or rental property) that is the subject of a Listing, offer, or transaction on or facilitated through the Platform.
"MLS" or "Multiple Listing Service"
means a third‑party multiple listing service or similar database operated by real estate industry organizations, through which property listing data may be submitted, accessed, or syndicated.
"Beta Launch Special" or "Beta Period"
means the promotional beta offering(s) made available by AIRE for a limited time, which may include free listing services for eligible Sellers and enhanced commission benefits for eligible Buyers, as further described on the Platform and in these Terms.
"Buy‑Side Commission" or "Commission Allocation"
means the commission or other compensation customarily payable to a buyer's broker or representative in connection with a qualifying real estate transaction, and any portion of that amount that is credited, allocated, or otherwise applied for the benefit of a Buyer in accordance with these Terms and applicable law.
"Third‑Party Services"
means services, systems, platforms, or tools provided by third parties that integrate with, receive data from, or are used in connection with the Platform, including without limitation MLS systems, e‑signature providers, title and escrow companies, mortgage lenders, and other vendors or service providers.

3. Description of the AIRE Platform & Role

AI-Powered Platform (Not a Traditional Agent)

AIRE is an AI-powered real estate platform that provides tools, automation, and guidance to help Users list, market, negotiate, and close real estate transactions. While AIRE may, where required by law or custom, act as the designated broker of record for certain transactions, the Platform is designed as a self-service experience and does not replace the need for your own independent judgment. AIRE does not provide personalized legal, tax, financial, or accounting advice, and nothing on the Platform should be construed as such advice. You are solely responsible for determining whether any action, decision, or transaction is appropriate for you and for consulting with your own licensed attorneys, tax advisors, financial advisors, or other professionals as needed.

Scope of Services

Subject to these Terms and any applicable eligibility or onboarding requirements, the Platform may provide access to the following types of functionality and services:

  • Listing creation and management tools that help you prepare, edit, and submit property listings and related information.
  • MLS upload services and syndication of listings to certain third-party real estate websites (such as Zillow, Realtor.com, and similar sites), subject to the rules, availability, and technical limitations of the applicable MLS and third-party platforms.
  • AI-powered pricing analysis and recommendations based on comparable properties, market conditions, and other data inputs made available to the Platform.
  • AI-guided contract and negotiation tools designed to help you review, generate, and manage offers, counteroffers, and other transaction documents.
  • Transaction management tools that assist with tracking deadlines, documents, tasks, and workflows associated with a real estate transaction, and with coordinating with third-party service providers.

No Guarantee of Outcomes

The Platform is intended to help streamline and support your real estate activities, but AIRE does not and cannot guarantee any particular outcome or result. Without limiting the foregoing, AIRE makes no promise, warranty, or guarantee regarding whether, when, or on what terms any property will sell, lease, or be purchased; the price or other economic terms that may be achieved; or whether any particular offer, transaction, or strategy is suitable for your circumstances. All real estate decisions and outcomes are subject to numerous factors beyond AIRE's control, and you assume all risk associated with your use of the Platform and any resulting transactions.

4. Eligibility & User Accounts

Eligibility Requirements

By using the Platform, you represent and warrant that you are at least 18 years old (or the age of majority in your jurisdiction, if higher), have the legal capacity to enter into binding contracts, and are not otherwise barred from using the Platform under applicable law. You agree to use the Platform only in jurisdictions and in a manner where our Services and any related brokerage or real estate activities are permitted by law, and you acknowledge that certain features or offerings may be limited, modified, or unavailable based on your location or regulatory requirements. AIRE may, in its sole discretion, refuse to offer or continue providing access to the Platform to any individual or entity that does not meet these eligibility criteria or that has been previously suspended or removed from the Platform.

Account Registration

To access certain features of the Platform—including listing management, transaction tools, and AI-powered guidance—you may be required to create an account and complete an onboarding or verification process. When registering for an account, you agree to provide true, accurate, current, and complete information about yourself (and, where applicable, your business or associated entities) and to promptly update such information as needed to keep it accurate and complete. You acknowledge that AIRE may rely on the information you provide when enabling or tailoring features of the Platform, and that providing false, misleading, or incomplete information may result in limited functionality, delays in processing, or suspension or termination of your account.

Account Security

You are responsible for maintaining the confidentiality and security of your account credentials, including your username, password, and any multifactor authentication methods. You agree not to share your login information with any other person, permit unauthorized access to your account, or otherwise allow your account to be used for any unlawful or improper purpose. You must immediately notify AIRE at the contact information provided on the Platform if you suspect or become aware of any unauthorized access to or use of your account, credentials, or any other breach of security. To the fullest extent permitted by law, you are responsible for all activities that occur under your account unless and until you have given such notice and AIRE has had a reasonable opportunity to secure or disable the account.

5. Beta Program & Promotional Offers

Beta Status of the Platform

The Platform is currently offered as a beta service and remains under active development and testing. Features, workflows, and offerings may change, be added, or be removed at any time, and the Platform may contain bugs, errors, or other limitations. By using the Platform during this beta period, you acknowledge these limitations and agree that you will not rely on the availability of any particular feature, promotion, or service configuration on a permanent basis.

Beta Launch Special Overview

During the beta period, AIRE may offer one or more promotional programs (collectively, the "Beta Launch Special") designed to encourage early adoption and participation on the Platform. As of the effective date of these Terms, the Beta Launch Special includes the following core promotional benefits, each of which is subject to the eligibility criteria and limitations described on the Platform and in these Terms:

  • Free listing services for eligible Sellers who submit qualifying property listings through the Platform during the beta period, which may include MLS upload, syndication to major real estate websites, AI-powered pricing analysis, AI-guided negotiation tools, and transaction management features, as described in more detail in the Seller Terms.
  • Enhanced buy-side commission allocation for eligible Buyers, under which up to eighty percent (80%) of the buy-side commission customarily payable to a buyer's broker in a qualifying transaction is allocated, credited, or otherwise applied for the benefit of the Buyer in accordance with these Terms and applicable law, as described in more detail in the Buyer Terms.

Promotional Period and Changes to Promotions

The Beta Launch Special and any related promotional offers are available only for a limited time during the Platform's beta period, as determined by AIRE in its sole discretion. AIRE may modify, suspend, or terminate any promotional program (including eligibility rules, scope of included services, commission allocation amounts, or geographic availability) at any time, with or without advance notice, to the fullest extent permitted by law. Unless otherwise expressly stated in writing, promotions are not transferable, may not be combined with other offers, and have no cash value.

Grandfathering and Honor of Existing Promotions

If you enter into a qualifying listing engagement or transaction while a particular promotional offer is in effect and you satisfy all applicable eligibility criteria, AIRE will use commercially reasonable efforts to honor the promotional terms that applied at the time your qualifying engagement or transaction commenced, through completion of that engagement or transaction, even if AIRE later modifies or terminates the underlying promotion. Notwithstanding the foregoing, AIRE reserves the right to adjust or discontinue promotional benefits as necessary to comply with applicable law, MLS rules, or other regulatory or contractual requirements, and any such changes will apply on a prospective basis to the fullest extent permitted by law.

6. Seller Terms

Eligibility for Free Listings

During the Beta Launch Special described in Section 5, certain listing services are offered to eligible Sellers at no charge. To qualify for these free listing services, you must submit your property listing through the Platform during the beta period and satisfy all onboarding and eligibility requirements communicated by AIRE. All listings are subject to review, and AIRE must accept your submission in its discretion, including for quality, completeness, and compliance with these Terms, applicable law, and MLS rules. AIRE reserves the right to decline, suspend, or terminate free listing eligibility for any listing or Seller that does not meet these requirements.

Included Services for Sellers

Subject to your eligibility for the Beta Launch Special and successful acceptance of your listing by AIRE, the free listing services generally include access to the following types of functionality:

  • MLS upload of your accepted listing and syndication of listing data to certain major real estate websites and portals, subject to the technical limitations and rules of the applicable MLS and third-party platforms.
  • AI-powered pricing analysis and recommendations based on comparable properties, market conditions, and other data available to the Platform.
  • Hosting of your property listing on the AIRE Platform, including support for photos and other marketing content you provide, subject to content standards and technical limitations.
  • AI-guided tools to assist with reviewing, generating, and negotiating offers, counteroffers, and related contracts and documents.
  • Transaction management tools and dashboards to help you track deadlines, tasks, documents, and recommended next steps throughout the lifecycle of your transaction.
  • Review of your submitted listing for accuracy and compliance, with a typical timeframe for MLS upload of up to two (2) business days after acceptance, subject to third-party and technical constraints.

The specific scope and configuration of included services may vary by market, property type, and over time as the Platform evolves. AIRE does not guarantee the availability of any particular feature or integration on a permanent basis.

Seller Responsibilities

AIRE is designed as an AI-powered, self-service platform and does not replace your own responsibilities as a Seller. Without limiting your obligations elsewhere in these Terms, you acknowledge and agree that you remain responsible for:

  • Conducting property showings, open houses, and other in-person marketing activities.
  • Handling communication with prospective buyers and their representatives, including responding to inquiries and coordinating viewings, with AI guidance where such tools are made available.
  • Completing all required property details in the listing workflow and uploading accurate, high-quality photos and other media, subject to any technical requirements posted on the Platform.
  • Carefully reviewing all auto-populated or imported data (including any MLS or public-records data) for accuracy and completeness, understanding that such data may be outdated, incomplete, or inaccurate.
  • Manually inputting all necessary property information if auto-populated data is unavailable, incomplete, or incorrect.

You are solely responsible for the accuracy, legality, and completeness of all information, photos, and materials you submit, and for complying with all showing, disclosure, and other obligations that apply to you under applicable law.

Exclusions and Additional Paid Services

The free listing services described in this Section 6 do not include all possible marketing or support services. Unless expressly stated otherwise in writing on the Platform or in your engagement documentation, professional photography, videography, virtual tours, premium or featured advertising, staging, in-person showings conducted by AIRE personnel, and other enhanced marketing or concierge services are not included in the free listing offering and, where available, may be offered as optional paid services subject to separate terms and fees. AIRE does not guarantee that any particular additional service will be available in your market.

Compliance with Laws and MLS Rules

You agree that all listings and related materials you submit through the Platform will be truthful, accurate, and compliant with all applicable laws, regulations, and industry standards, including without limitation fair housing, anti-discrimination, advertising, and consumer protection laws, as well as the rules and policies of any applicable MLS and third-party websites where your listing may appear. You further agree not to submit any content that is misleading, inappropriate, or otherwise in violation of these Terms.

AIRE reserves the right, but does not undertake an obligation, to review, edit (where permitted by law and MLS rules), decline, or remove any listing or related content that it believes, in its sole discretion, may be inaccurate, non-compliant, low-quality, or otherwise inconsistent with AIRE's standards or obligations. AIRE may also modify or delay submissions to the MLS as necessary to comply with MLS requirements, applicable law, or technical constraints.

7. Buyer Terms

Eligibility for 80% Buy-Side Commission Allocation

During the Beta Launch Special described in Section 5, certain eligible Buyers may receive an enhanced allocation of the buy-side commission associated with their qualifying real estate transaction. To be eligible, you must use AIRE as your designated representing broker for the entire transaction, from property search, tour scheduling, initial offer, counteroffer, and final closing; initiate and complete the transaction through the Platform during the beta period; and successfully close on the property. Transactions that are canceled, do not close, or are transferred to another broker, agent, or platform do not qualify for the commission allocation benefits described in this Section 7.

Commission Allocation and Calculation

For qualifying transactions, AIRE will allocate to you an amount equal to eighty percent (80%) of the buy-side commission actually paid by the seller (or other payor) to AIRE in connection with your transaction, subject to these Terms and applicable law. The buy-side commission is typically expressed as a percentage of the purchase price (for example, approximately two to three percent (2–3%) of the purchase price in many markets), but the actual amount and structure of the commission depends on the specific transaction, market, and agreements among the parties. The exact commission allocation amount applicable to your transaction will be determined based on the commission actually received by AIRE at closing.

Form of Benefit (Credit at Closing)

Any commission allocation you receive under this program will be applied as a credit at closing, for your benefit, in a manner consistent with applicable law and any lender or settlement requirements. The allocation is generally structured as a credit against your cash-to-close or as a reduction in the effective purchase price or closing costs, and is not paid to you as a separate cash rebate after closing. The precise form and application of the credit in your transaction may vary based on the requirements of your lender, escrow or title company, and applicable regulations, and may be reflected on the closing disclosure or other settlement documents.

Transaction Requirements

To maintain eligibility for the commission allocation, AIRE must remain your designated representing broker of record from the time you submit your initial offer through the final closing of the transaction, and the transaction must continue to be managed through the Platform. Transactions that are initiated outside the Platform, that are moved to or handled by other brokers or agents, or that otherwise do not utilize AIRE as the buyer's representing broker for the entire process may be deemed ineligible for the commission allocation in AIRE's discretion. AIRE reserves the right to deny or adjust the allocation if it determines that these requirements have not been satisfied.

Exclusions and Legal Restrictions

The commission allocation program does not apply to any transaction in which no buy-side commission is offered or paid to a buyer's broker, or where the applicable commission is insufficient or not structured in a manner that allows for the allocation described in this Section 7. In addition, certain jurisdictions, lenders, or regulatory frameworks may restrict, limit, or prohibit commission credits, rebates, or similar buyer incentives. Where such restrictions apply, AIRE may modify, reduce, or eliminate the commission allocation, or structure it differently, as necessary to comply with applicable law, lender or settlement requirements, MLS rules, or other obligations.

AIRE does not guarantee that the commission allocation program will be available in all markets or for all transactions, and reserves the right to modify or discontinue the program at any time, consistent with Section 5 and applicable law.

8. Listing Submission, Review & MLS Publication

Submission Process

To submit a Listing through the Platform, you must complete the required listing workflow, which generally includes: entering or confirming property details; completing required fields and disclosures; uploading photos and other media that meet our technical and content standards; reviewing any auto-populated or imported data for accuracy; and electronically signing any required listing agreement or engagement documentation. You acknowledge that AIRE may provide AI-powered guidance and tools to help you complete these steps, but you remain solely responsible for the accuracy, completeness, and legality of all information and materials you submit.

If the Platform cannot auto-populate certain information (for example, because MLS or public-records data is unavailable or incomplete), you will be required to manually input such information before your Listing can be submitted for review.

Review Process and Timeframes

After you submit a Listing, AIRE may review the submission for accuracy, completeness, and compliance with these Terms, applicable law, MLS rules, and AIRE's quality standards. Where permitted by law and MLS rules, AIRE may edit, reformat, or request changes to your Listing (for example, to correct obvious errors, remove prohibited content, or standardize formatting). AIRE may approve, reject, or require revisions to any Listing in its sole discretion. If your Listing is accepted, AIRE will use commercially reasonable efforts to submit the Listing to the applicable MLS for upload, typically within two (2) business days after acceptance, subject to third-party and technical constraints.

Any timeframes described in this Section are estimates only and may be affected by the volume and complexity of submissions, system maintenance, MLS availability, and other factors outside AIRE's control.

No Guarantee of Publication

You acknowledge that AIRE does not guarantee that any Listing you submit will be approved, published, or remain continuously available on the Platform, any MLS, or any third-party website. Without limiting the foregoing, AIRE may delay, modify, decline, or remove a Listing at any time if it believes, in its sole discretion, that the Listing or related content may be inaccurate, incomplete, misleading, non-compliant with law or MLS rules, low-quality, or otherwise inconsistent with AIRE's standards or obligations. MLSs and third-party websites may also delay, modify, decline, or remove Listings based on their own rules, policies, or technical constraints.

You are responsible for promptly responding to AIRE's requests for corrections or updates, and for monitoring your Listing to ensure it remains accurate, compliant, and up to date.

MLS Rules and Data Syndication

All MLS-related services are provided subject to the rules, policies, and technical requirements of the applicable MLS and any participating data partners. Where enabled, AIRE may facilitate the syndication of your Listing to certain third-party real estate websites and platforms (such as major listing portals or brokerage sites), but AIRE does not control and is not responsible for how, when, or whether those third parties display, update, prioritize, or distribute your Listing or related data.

Display of your Listing on third-party websites is not guaranteed, may be delayed or limited, and may differ in appearance or content from the Listing as shown on the Platform or in the MLS. AIRE is not liable for any errors, omissions, delays, or discrepancies in how third parties display or use your Listing data.

9. Data Accuracy, User Content & MLS Data

User-Provided Information

You are solely responsible for the accuracy, completeness, and lawfulness of all information and materials you submit or provide in connection with the Platform, including without limitation property details, photos, descriptions, pricing, offers, counteroffers, messages, and personal or contact information. You acknowledge that AIRE, MLSs, and third-party service providers may rely on the information you provide to enable features of the Platform, process listings and transactions, and comply with applicable legal, regulatory, and contractual obligations.

Providing false, misleading, incomplete, or outdated information may result in limited functionality, delays, rejection or removal of listings, or suspension or termination of your access to the Platform.

Auto-Populated MLS Data

Where available, the Platform may auto-populate certain fields using data obtained from MLS systems, public records, or other third-party sources in order to streamline the listing process. Such data may be incomplete, outdated, or inaccurate, and is provided for convenience only. Auto-populated data does not relieve you of your responsibility to verify that all information in your Listing or transaction documents is accurate and complete.

You agree to carefully review and, where necessary, correct or update all auto-populated or imported fields before submitting any Listing or transaction document. If the Platform cannot locate or auto-populate certain information for your Property, you will be required to manually input all such details and ensure they are correct prior to submission.

Rights to Use User Content

By submitting, uploading, or otherwise making available any content through the Platform, including photos, descriptions, media, and other Listing or transaction-related materials ("User Content"), you grant AIRE a worldwide, non-exclusive, transferable, sublicensable, royalty-free license to host, use, reproduce, modify, adapt, publish, translate, distribute, display, and transmit such User Content in connection with operating, marketing, and improving the Platform and Services. This includes, without limitation, submitting User Content to applicable MLSs, syndicating Listing data to third-party real estate websites and services, and displaying User Content on AIRE-branded channels.

Except for the rights expressly granted in this Section, you retain any ownership rights you have in your User Content. Use of personal data contained in User Content is also subject to our Privacy Policy and applicable law.

Prohibited Content

You agree not to submit, upload, or transmit any content through the Platform that:

  • is illegal, fraudulent, or otherwise in violation of any applicable law, regulation, MLS rule, or third-party policy;
  • is discriminatory, harassing, hateful, obscene, or otherwise inconsistent with fair housing laws or industry standards;
  • is false, misleading, or deceptive, including misrepresentations about a Property, Listing status, pricing, or transaction terms; or
  • infringes, misappropriates, or violates any third party's intellectual property, privacy, publicity, or other proprietary rights.

AIRE reserves the right, but does not undertake an obligation, to remove, edit (where permitted), or refuse to display any User Content that it believes may violate these Terms, applicable law, MLS rules, or third-party rights, or that may expose AIRE or its users to harm or liability.

10. AI Guidance, No Professional Advice & User Decision-Making

Nature of AI Guidance

The Platform's AI-powered tools, including pricing recommendations, contract drafting assistance, negotiation guidance, and workflow suggestions, are designed to provide informational support and automation based on patterns in data and your inputs. Any output generated by the Platform (including suggested listing prices, offer terms, counteroffer language, or next steps) is provided for your consideration only and is not a directive, requirement, or guarantee of any particular outcome. You are expected to carefully review, evaluate, and, where appropriate, modify any AI-generated content before using it in a Listing, offer, counteroffer, or other transaction document.

No Legal, Tax, or Financial Advice

AIRE is not a law firm, accounting firm, or financial advisory service, and the Platform does not provide legal, tax, financial, or accounting advice. Any explanations, summaries, template language, or scenario analysis provided by the Platform are not a substitute for advice from qualified attorneys, certified public accountants, financial advisors, or other licensed professionals. You should not rely on the Platform as a basis for deciding how to structure your contracts, handle tax matters, or make financial or investment decisions.

You are strongly encouraged to consult with appropriately licensed professionals in your jurisdiction before entering into any binding agreement, making significant pricing decisions, or proceeding with a real estate, tax, or financial strategy.

User Responsibility for Decisions

You remain solely responsible for all decisions you make in connection with your use of the Platform, including without limitation decisions regarding listing prices, offer and counteroffer terms, contract provisions, contingencies, inspection and repair strategies, and whether to proceed with, modify, or terminate a transaction. While the Platform may highlight potential risks, tradeoffs, or alternative approaches, you are responsible for weighing those factors in light of your own circumstances, risk tolerance, and professional advice (if any).

To the fullest extent permitted by law, AIRE is not liable for any losses, costs, or damages arising from decisions you make or actions you take or do not take based on AI-generated content, suggestions, or guidance provided through the Platform.

11. Third-Party Services & Integrations

MLS Systems & Syndication Partners

The Platform relies on third-party multiple listing services (MLSs) and other listing platforms and syndication partners to upload, distribute, and display certain Listing data. While AIRE uses commercially reasonable efforts to facilitate these integrations, AIRE does not control and is not responsible for the availability, accuracy, timeliness, policies, or practices of any MLS or third-party website, portal, or service. Display of your Listing or related data on any third-party system is not guaranteed, may be delayed, limited, modified, or removed, and may differ in appearance or content from how it appears on the Platform.

To the fullest extent permitted by law, AIRE is not liable for any errors, omissions, outages, interruptions, delays, or other issues arising from or attributable to MLS systems, listing portals, or other third-party platforms, including any changes they make to their rules, policies, or technical requirements.

E-Signature & Document Services

The Platform may integrate with third-party e-signature and document management providers (such as SignNow or similar services) to facilitate execution of listing agreements, offers, counteroffers, and other transaction documents. These e-signature tools are operated by independent third parties and are subject to their own terms of use, privacy policies, security practices, and service levels, which are separate from and in addition to these Terms. Your use of any e-signature or document service through or in connection with the Platform constitutes your agreement to comply with the applicable third-party terms.

AIRE does not control and is not responsible for the acts or omissions of any e-signature or document service provider, including any downtime, data loss, security incidents, or transmission errors that may occur on those systems. You are responsible for reviewing and retaining copies of executed documents and for verifying that all signatures, initials, and required fields have been properly completed.

Other Recommended Professionals

From time to time, the Platform may suggest or refer you to third-party professionals or service providers, such as mortgage lenders or brokers, title or escrow companies, inspectors, appraisers, home warranty providers, or insurance professionals, or may allow you to access directories or informational resources about such providers. Any such recommendations, listings, or suggestions are provided for your convenience only and do not constitute an endorsement, guarantee, or warranty by AIRE regarding any third-party provider, their services, fees, qualifications, or outcomes.

You are solely responsible for selecting, engaging, and contracting with any third-party professional or vendor, and for conducting your own due diligence, including reviewing credentials, references, pricing, and service terms. AIRE is not a party to, and has no responsibility or liability for, any separate agreements or relationships between you and third-party providers, even if they are mentioned or suggested through the Platform.

12. Fees, Payments & Refunds

Platform Fees

During the Beta Launch Special described in Section 5, certain core Platform services, including the free listing services for eligible Sellers and the enhanced buy-side commission allocation for eligible Buyers described in Sections 6 and 7, are offered at no direct charge from AIRE, subject to the eligibility criteria and limitations set forth in these Terms and on the Platform. You remain responsible for all customary transaction costs and expenses not expressly covered by a promotion, including without limitation lender fees, title and escrow charges, inspection costs, appraisal fees, recording fees, transfer taxes, and any other third-party charges associated with your transaction.

AIRE may, in the future, introduce subscription plans, per-transaction fees, or other pricing for certain features or services. Where applicable, such fees will be disclosed to you in advance on the Platform or in separate written terms, and your use of the corresponding services after such disclosure will constitute your agreement to the applicable fees.

Commission Structure

In many transactions, AIRE's compensation is derived from commissions customarily paid out of the transaction by the seller or other payor, including the buy-side commission allocation described in Section 7. For qualifying Buyer transactions under the Beta Launch Special, AIRE generally allocates up to eighty percent (80%) of the buy-side commission it actually receives for your transaction for your benefit, in the form of a credit at closing or similar structure permitted by applicable law and lender requirements, and retains the remaining portion (for example, twenty percent (20%)) as compensation for its services. In all cases, the actual commission amounts, allocations, and structures applicable to your transaction will be determined by the agreements among you, AIRE, and the other parties to the transaction, as reflected in your closing documents.

Nothing in these Terms guarantees that a particular commission amount, rate, allocation, or benefit will apply to your transaction. Commission structures may vary by market, property type, transaction structure, and changes in law, and may be modified by AIRE as permitted under Section 5.

Additional Services

The free listing and promotional services described in Sections 5 and 6 do not include all possible marketing, advisory, or concierge services. Unless expressly stated otherwise in writing, professional photography and videography, virtual tours and 3D walkthroughs, staging services, premium or featured advertising placements, in-person showings conducted by AIRE personnel, and other enhanced marketing or transaction support offerings are considered optional add-on services. Where available, such services may be offered by AIRE or by third-party providers at additional cost, subject to separate terms, consents, and disclosures.

You are not obligated to purchase any additional services in order to use the core Platform functionality. Any separate agreements you enter into with third-party service providers are solely between you and those providers, as further described in Section 11.

Refunds & Adjustments

Except where expressly required by law or stated otherwise in writing, fees charged by AIRE for Platform services and any amounts paid for optional add-on services are non-refundable once the applicable service has been initiated or delivered (for example, after listing preparation work has begun, photos have been captured, or documents have been prepared or executed). Credits or promotional benefits tied to a transaction, including any commission allocation described in Section 7, are generally applied at closing and are not payable if your transaction does not successfully close for any reason.

If AIRE determines that a billing error, duplicate charge, or similar mistake has occurred, AIRE may issue an adjustment, credit, or refund in its discretion and in accordance with applicable law. You agree to promptly review all invoices, closing disclosures, and other payment-related documents and to notify AIRE of any suspected discrepancies within a reasonable time.

13. Beta Program Disclaimers & Feedback

Beta Service Level

The Platform is offered during a beta period and is subject to ongoing development, testing, and improvement. While AIRE uses commercially reasonable efforts to provide a stable and reliable experience, you acknowledge and agree that the Platform may not be uninterrupted or error-free and may experience bugs, performance issues, outages, or other limitations. You should not rely on the continuous availability of any particular feature, workflow, or integration, and you agree that AIRE will not be liable for temporary disruptions, delays, or errors that occur as part of the beta program, to the fullest extent permitted by law.

Changes & Feature Rollouts

Because the Platform is in active development, AIRE may add, modify, or remove features, workflows, interfaces, promotional programs, or other aspects of the Services at any time during the beta period, with or without prior notice, to the fullest extent permitted by law. These changes may affect how you access or use certain tools, how information is displayed, or how promotions are structured or applied. Where practical and appropriate, AIRE will use reasonable means to communicate material changes to active users, but you understand that the nature of beta software means that the Platform experience may evolve frequently and that specific features may be experimental, limited, or discontinued.

User Feedback

A key purpose of the beta program is to gather feedback to improve the Platform. By using the Platform during the beta period, you are encouraged (but not required) to share comments, suggestions, problem reports, and ideas about the Services (collectively, "Feedback"). You agree that AIRE may collect and use Feedback, along with de-identified or aggregated usage data, to develop, enhance, and refine the Platform and related offerings without any obligation to compensate you, attribute the Feedback to you, or provide you with any ownership or other rights in the resulting products or features. To the extent you retain any rights in Feedback, you hereby grant AIRE a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to use, reproduce, modify, and create derivative works from such Feedback for any lawful purpose.

14. Service Availability, Modifications & Termination

Service Availability

The Platform and Services may occasionally be unavailable, limited, or slower than usual due to scheduled maintenance, unplanned outages, technical issues, third-party service interruptions (including MLS systems, e-signature providers, and hosting providers), or factors outside AIRE's reasonable control (such as internet or utility failures, force majeure events, or cyber incidents). While AIRE uses commercially reasonable efforts to maintain a reliable and secure Platform, AIRE does not guarantee uninterrupted, error-free, or real-time availability of any feature, workflow, or integration and will not be liable for temporary disruptions or delays to the fullest extent permitted by law.

Where practicable, AIRE will make reasonable efforts to schedule planned maintenance during off-peak periods and to communicate material service disruptions to active users, but you acknowledge that some interruptions may occur without advance notice.

Modifications to Services

AIRE may, from time to time, modify, enhance, suspend, or discontinue any aspect of the Platform or Services, including specific features, workflows, integrations, user interfaces, or promotional programs (such as the Beta Launch Special), in order to improve the user experience, address security or compliance needs, respond to market conditions, or for other legitimate business reasons. To the fullest extent permitted by law, AIRE may implement such changes with or without advance notice; however, where practical and appropriate, AIRE will use reasonable means—such as email, in-app notifications, or prominent notices on the Platform—to inform active users of material modifications.

Unless expressly stated otherwise in writing, your continued access to or use of the Platform after updated features, configurations, or promotions take effect constitutes your acceptance of those modifications, consistent with Sections 5 and 13 and any separate promotional terms.

User Suspension or Termination

AIRE may suspend, restrict, or terminate your access to the Platform or specific Services, in whole or in part, at any time and in its reasonable discretion, if it believes that: (a) you have violated these Terms or any other applicable policy; (b) you have engaged in fraud, abuse, or other unlawful or harmful conduct; (c) your activity presents a risk of harm or liability to other users, AIRE, or third parties; (d) you fail to satisfy applicable eligibility, onboarding, or verification requirements; or (e) such action is required by law, regulatory guidance, court order, or MLS or third-party partner rules. AIRE may also place temporary holds or restrictions on certain features or transactions while it investigates suspected violations or unusual activity.

Where reasonable under the circumstances, AIRE will endeavor to notify you of a suspension or termination decision using the contact information associated with your account, but AIRE is not obligated to provide prior notice in cases involving suspected fraud, abuse, or legal or security risks.

Effect of Termination

Upon termination or suspension of your account or access to the Platform, your right to use the Services will immediately cease, and you may lose access to certain dashboards, tools, or content associated with your listings, offers, or transactions. To the extent permitted by law and applicable MLS and contractual obligations, AIRE may (but is not required to) take reasonable steps to avoid undue disruption to in-progress transactions—for example, by maintaining existing listings in the MLS for a limited period or coordinating with you and, where appropriate, counterparties or third-party providers.

Termination or suspension does not (a) affect your obligation to pay any amounts owed or satisfy any contractual commitments incurred prior to the effective date of termination; (b) void any completed transactions or legally binding agreements entered into using the Platform; or (c) limit AIRE's rights to retain and use data as described in these Terms and the Privacy Policy, to the extent required or permitted by law. Certain provisions of these Terms, by their nature, will survive termination, including but not limited to those relating to intellectual property, disclaimers, limitations of liability, and dispute resolution.

15. Intellectual Property

Ownership of Platform IP

AIRE and its licensors own all rights, title, and interest in and to the Platform and Services, including all associated technology, software, source code, AI models and workflows, algorithms, interfaces, designs, text, graphics, logos, trademarks, trade dress, and any content, documentation, or materials created or provided by AIRE in connection with the Platform (collectively, "AIRE Materials"). Except for the limited license expressly granted to you in these Terms, no rights or interests in the AIRE Materials are transferred or assigned to you, whether by implication, estoppel, or otherwise, and all such rights are expressly reserved by AIRE.

License to Use the Platform

Subject to your continued compliance with these Terms and any applicable eligibility or onboarding requirements, AIRE grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Platform and Services solely for your personal or internal business purposes in connection with evaluating properties, creating and managing listings, engaging in real estate transactions, and using the AI-powered tools and dashboards made available to you. You agree not to copy, modify, reverse engineer, decompile, disassemble, translate, or create derivative works from the Platform or any AIRE Materials, or to resell, lease, distribute, or otherwise make the Platform available to any third party, except as expressly permitted in these Terms.

Any use of the Platform or AIRE Materials that is not expressly authorized by these Terms is strictly prohibited and may result in termination of your access to the Services, in addition to any other rights or remedies available to AIRE under applicable law.

User Content Intellectual Property

As further described in Section 9 (Data Accuracy, User Content & MLS Data), you retain ownership of any photos, descriptions, media, listing details, messages, and other content or materials that you submit, upload, or otherwise make available through the Platform ("User Content"). However, in order for AIRE to operate, improve, and support the Platform and Services, you grant AIRE the license rights to your User Content set forth in Section 9, including the right to host, use, reproduce, modify, adapt, publish, translate, distribute, display, and transmit such User Content in connection with providing the Services, submitting and syndicating listings, and marketing the Platform.

You represent and warrant that you have all necessary rights, consents, and permissions to grant these licenses to AIRE and that your User Content, and AIRE's use of it as permitted under these Terms, will not infringe, misappropriate, or violate any third party's intellectual property, privacy, or other proprietary rights.

16. Privacy & Data Protection

Relationship to Privacy Policy

Your use of the Platform involves the collection, use, and storage of personal data about you and, in some cases, about other individuals involved in your real estate transactions. AIRE's practices with respect to personal data are described in a separate Privacy Policy (the "Privacy Policy"), which is incorporated by reference into these Terms and may be updated from time to time. In the event of any conflict between these Terms and the Privacy Policy regarding the operation of the Platform, these Terms will govern your contractual relationship with AIRE, while the Privacy Policy will govern how AIRE collects, uses, and protects personal data, to the extent permitted by applicable law.

You are encouraged to review the Privacy Policy regularly to understand how your data is handled and any choices or rights you may have under applicable privacy laws.

Data Security

AIRE uses reasonable technical and organizational safeguards designed to protect personal data processed through the Platform, which may include access controls, encryption in transit, monitoring, and other security measures appropriate to the nature of the data and Services. However, no system or transmission over the internet can be guaranteed to be 100% secure, and AIRE cannot and does not promise or warrant absolute security of any information transmitted to or from the Platform.

You are responsible for maintaining the security of your devices, network connections, and account credentials, and for promptly notifying AIRE if you suspect any unauthorized access to your account or data, as further described in Section 4 (Eligibility & User Accounts).

Data Usage and AI-Powered Improvements

AIRE uses personal data to operate and provide the Platform and Services, including creating and managing user accounts, enabling listing creation and MLS upload, facilitating communications and transaction workflows, and delivering AI-powered guidance and recommendations as described in these Terms. Consistent with the Privacy Policy and applicable law, AIRE may also use certain data in de-identified, pseudonymized, or aggregated form to analyze performance, improve existing features, develop new tools, train or refine AI models, and enhance the overall quality, reliability, and security of the Platform.

Where required by law, AIRE will obtain your consent or provide you with specific notices and choices before using your personal data for particular purposes (such as certain marketing communications or optional beta features), and will honor applicable opt-out or limitation rights described in the Privacy Policy.

17. Disclaimers, Limitation of Liability & Indemnification

General Disclaimers

To the fullest extent permitted by applicable law, the Platform and Services are provided on an "as is" and "as available" basis, with all faults, and without any warranties of any kind, whether express, implied, statutory, or otherwise. AIRE and its affiliates expressly disclaim all implied warranties of merchantability, fitness for a particular purpose, title, non‑infringement, and any warranties arising out of course of dealing or usage of trade.

Without limiting the foregoing, and consistent with Sections 3, 9, 10, 11, 13, and 14, AIRE does not warrant or guarantee that: (a) the Platform will be uninterrupted, timely, secure, or error‑free; (b) any data, content, listings, market information, AI-generated recommendations, or third‑party materials made available through the Platform will be accurate, complete, up to date, or reliable; (c) any particular transaction, strategy, or outcome will be achieved; or (d) the Platform will be free from viruses or other harmful components. You are solely responsible for evaluating and verifying all information and outputs before relying on them in any decision or transaction.

Limitation of Liability

To the fullest extent permitted by law, in no event will AIRE, its affiliates, or their respective officers, directors, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages, or for any loss of profits, revenue, savings, goodwill, data, or business opportunities, whether based in contract, tort (including negligence), strict liability, or otherwise, arising out of or in connection with your use of or inability to use the Platform or Services, even if AIRE has been advised of the possibility of such damages.

To the fullest extent permitted by law, AIRE's aggregate liability for all claims arising out of or relating to the Platform, Services, these Terms, or any transactions or interactions conducted in connection with the Platform will be limited to the greater of: (a) the total amount of fees (if any) you paid directly to AIRE for the specific Services giving rise to the claim during the twelve (12) months immediately preceding the event giving rise to the claim; or (b) one hundred U.S. dollars (US$100). Some jurisdictions do not allow certain disclaimers or limitations of liability; in such jurisdictions, the above disclaimers and limitations will apply only to the extent permitted by applicable law.

Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless AIRE, its affiliates, and their respective officers, directors, employees, agents, and licensors from and against any and all claims, demands, complaints, actions, suits, proceedings, damages, losses, liabilities, judgments, settlements, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your access to or use of the Platform or Services; (b) any Listings, User Content, data, or materials you submit, upload, or make available through the Platform, including the accuracy, completeness, and lawfulness of such materials; (c) your violation of these Terms, any applicable law or regulation, or any rights of a third party (including intellectual property, privacy, or other proprietary rights); or (d) any misuse of the Platform, including any real estate, legal, tax, or financial decisions or transactions you undertake in reliance on AI-generated content or guidance. AIRE reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you (without limiting your indemnification obligations), and you agree to cooperate with AIRE's defense of such claims.

18. Governing Law, Dispute Resolution & Arbitration

Governing Law

To the fullest extent permitted by law, these Terms, your use of the Platform and Services, and any dispute, claim, or controversy arising out of or relating to them (whether in contract, tort, statute, or otherwise) will be governed by and construed in accordance with the laws of the United States and the laws of the State of Florida, in each case without giving effect to any choice-of-law or conflict-of-law rules that would result in the application of the laws of any other jurisdiction. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms or your use of the Platform.

Dispute Resolution Process

Before initiating formal legal proceedings, you agree to first attempt to resolve any dispute, claim, or controversy with AIRE informally. If you have a concern or dispute with AIRE, you must send a written notice describing the issue in reasonable detail to the contact information provided on the Platform or in these Terms. AIRE will use commercially reasonable efforts to work with you in good faith to resolve the dispute informally within a reasonable period (typically thirty (30) days) after receiving your notice. If the parties are unable to resolve the dispute informally within that timeframe, either party may pursue the dispute in accordance with the arbitration provisions set forth below or, where applicable, in a court of competent jurisdiction as permitted in this Section.

Nothing in this Section limits either party's ability to seek temporary or preliminary injunctive relief or other equitable remedies from a court of competent jurisdiction to prevent immediate or irreparable harm, pending final resolution of the dispute through the processes described in this Section.

Arbitration and Class Action Waiver

To the fullest extent permitted by applicable law, you and AIRE agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Platform, or the Services that cannot be resolved informally will be resolved exclusively and finally by binding, individual arbitration, rather than in court, except that either party may assert qualifying claims in small claims court if they fall within that court's jurisdiction. Arbitration will be conducted in a confidential manner before a single neutral arbitrator, under the rules and procedures of a recognized arbitration administrator mutually agreed upon by the parties (or, if the parties cannot agree, selected by AIRE), and consistent with this Section. The arbitrator will have the authority to award all remedies that would be available in a court of competent jurisdiction, subject to the limitations and disclaimers in these Terms.

YOU AND AIRE LLC AGREE THAT, TO THE FULLEST EXTENT PERMITTED BY LAW, ANY ARBITRATION OR PROCEEDING WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, COLLECTIVE, REPRESENTATIVE, OR CONSOLIDATED ACTION. YOU AND AIRE FURTHER AGREE THAT YOU AND AIRE ARE EACH WAIVING THE RIGHT TO PARTICIPATE AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE CLAIMS OF MORE THAN ONE PERSON OR OTHERWISE PRESIDE OVER ANY FORM OF A CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.

If a court of competent jurisdiction determines that any portion of this arbitration and class action waiver provision is unenforceable as to a particular claim or request for relief, then that claim or request for relief (and only that claim or request for relief) will proceed in court, and the remaining provisions of this Section will continue to apply to the fullest extent permitted by law.

19. Changes to Terms & Notices

Right to Modify Terms

AIRE may update or modify these Terms from time to time to reflect changes to the Platform, applicable laws, regulatory requirements, or our business practices. Any such updates will be made in AIRE's reasonable discretion and consistent with applicable law.

Notice Methods

When material changes are made to these Terms, AIRE will provide notice to active users by reasonable means, which may include email, in‑app or dashboard notifications, or by posting an updated version of these Terms on the Platform with a new effective date. The form of notice may vary depending on the nature and impact of the changes.

Continued Use as Acceptance

Unless otherwise stated in the notice, updated Terms will become effective when posted. Your continued access to or use of the Platform after the updated Terms take effect will constitute your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Platform.

20. Miscellaneous

Entire Agreement

These Terms, together with any additional terms, disclosures, or policies expressly referenced in these Terms (including the AIRE Privacy Policy), constitute the entire agreement between you and AIRE with respect to your access to and use of the Platform and Services, and supersede all prior or contemporaneous agreements, understandings, negotiations, or communications, whether written or oral, relating to the subject matter hereof.

Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or other tribunal of competent jurisdiction, that provision will be enforced to the maximum extent permissible and, to the extent it is not enforceable, will be deemed severed from these Terms. The remaining provisions will continue in full force and effect, and the invalid, illegal, or unenforceable provision will be replaced by a valid and enforceable provision that most closely reflects the original intent of the parties.

No Waiver

AIRE's failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision, nor will any waiver of any term be deemed a further or continuing waiver of such term or any other term. Any waiver must be made in a writing signed by an authorized representative of AIRE to be effective.

Assignment

You may not assign, transfer, or delegate any of your rights or obligations under these Terms, whether by operation of law or otherwise, without AIRE's prior written consent, and any attempted assignment or transfer in violation of this restriction will be null and void. AIRE may freely assign, transfer, or delegate its rights and obligations under these Terms, in whole or in part, without notice to you, including in connection with a merger, acquisition, corporate reorganization, sale of assets, or similar transaction.
